Introduction

Over the last year, almost every one of those conversations has included AI.
Sometimes it comes up as excitement. Sometimes it comes up as concern. Most often, it comes up as pressure. A board member asks about it. A funder mentions it. A staff member starts using a tool quietly because it helps them move faster. A vendor pitches it as an add-on that sounds harmless.
What I notice is that very few organizations are against AI. What they are against is unnecessary risk.
That distinction matters.
AI tools are not just another category of software. They behave differently, they evolve faster, and they introduce forms of liability that are easy to miss if you evaluate them the same way you would evaluate a CRM or a file-sharing platform.
My goal here is not to slow you down or make AI feel intimidating. It is to help you see where the real risk lives, so you can make decisions that hold up six months from now, not just this quarter.
Because the hardest problems with AI rarely show up on day one. They show up later, when the tool is already embedded in workflows and the assumptions nobody questioned start to matter.
Why AI Changes the Risk Equation
Traditional software does what it is told. AI systems infer, predict, and generate. That difference sounds subtle until you are accountable for the outcome.
When an AI tool touches your organization, it is not just executing instructions. They can introduce compliance drift when automated systems start influencing decisions that fall under regulatory oversight.
They can also create operational dependency. Teams begin to rely on a tool’s outputs without fully understanding how those outputs are generated or how they might fail. When something goes wrong, responsibility becomes blurred. Was it the model, the vendor, the user, or the organization?
From a legal and governance standpoint, that ambiguity matters.
And then there is reputational risk. AI errors tend to surface publicly. A flawed summary, an incorrect recommendation, or an inappropriate automated response can undermine trust faster than a traditional system failure because it feels personal and avoidable.
Most of these problems do not come from bad actors. They come from good teams adopting tools faster than their risk models can adapt.

You need to understand where the tool sits in your organization. What data it touches. What decisions it influences. Who relies on its output and how often.
If the answers to those questions are vague, that is not a failure. It is a signal that the evaluation is happening too early.
Clarity at this stage does more to reduce liability than any contract clause. When you know exactly what a tool is doing and why it exists, the risks become easier to see and manage.
Data Handling Is Where Most AI Risk Lives
The most important part of evaluating an AI vendor is understanding how data moves through their system.
Not in general terms. In specific, operational terms.
You need to know what data enters the system, whether directly through prompts or indirectly through integrations. You need to know what data is stored, how long it is retained, and whether it is logged. You need to understand whether customer data is used to train or fine-tune models, and whether that usage can be disabled.
You also need to know where processing occurs. Jurisdiction matters. Cloud providers matter. Subprocessors matter.
If a vendor cannot explain these things clearly and consistently, that does not automatically mean they are irresponsible. It does mean that you are being asked to assume risk without visibility.
In regulated environments, that assumption is rarely acceptable.
Terms of Service Are a Risk Document, Not Legal Formality
Most organizations treat terms of service as something legal reviews once and then files away. With AI vendors, that approach is risky.
AI-related terms often contain clauses that materially affect your exposure. Training rights, data reuse permissions, ownership of outputs, limitations on liability, and the vendor’s ability to change practices without notice all deserve attention.
You do not need to negotiate every clause. You do need to understand what you are agreeing to.
If an AI vendor reserves broad rights to use your data, you should know that before adoption, not after a policy update. If liability is capped in ways that shift all downstream risk to you, that should be a conscious decision, not an accidental one.
Legal alignment is not about perfection. It is about awareness.
Security Is Necessary, but Not Sufficient
Security certifications provide a baseline, and they matter. But AI systems introduce failure modes that certifications alone do not address.
You need to think about how the system behaves when it is misused, manipulated, or misunderstood. How outputs are monitored. How errors are detected. How the vendor responds when something goes wrong.
A system can be technically secure and still operationally risky if it produces unreliable outputs that influence decisions without safeguards.
Security, in the context of AI, includes the integrity of decision-making pathways, not just the protection of infrastructure.
There's always the human side of security.
The Human Side of AI Risk
One of the most underestimated aspects of AI adoption is how it changes human behavior.
People tend to trust AI outputs because they sound confident and arrive quickly. Over time, that trust can replace judgment if no guardrails exist. Responsibility becomes diffuse. Errors feel less personal, which delays correction.
This is not a critique of teams. It is a predictable human response to automation.
Any responsible AI evaluation should include an operational plan for oversight. Who reviews outputs. Where human judgment is required. How mistakes are surfaced and corrected. How usage is documented.
If those questions do not have answers, the tool may still be useful, but it is not ready for critical workflows.
AI Risk Evolves Over Time
One of the most important things to understand about AI vendor risk is that it is not static.
Models change. Vendors evolve. Regulations emerge. Your organization grows and takes on new responsibilities. A tool that fits your risk profile today may not fit it a year from now.
That is why AI tools should be reviewed periodically, not just approved once.
This does not require bureaucracy. It requires discipline. Revisit assumptions. Reconfirm data practices. Reevaluate alignment with your obligations.
Risk management is not about eliminating uncertainty. It is about staying aware as conditions change.
A More Sustainable Way to Evaluate AI Vendors
In practice, responsible AI adoption looks less like a checklist and more like a conversation that spans legal, operational, and human concerns.
You define the use case clearly. You understand the data flows. You assess legal and compliance fit honestly. You evaluate security with an eye toward real-world failure. You plan for human oversight. And you commit to revisiting the decision as things evolve.
That approach may not be flashy, but it scales. It holds up under scrutiny. And it protects the people who are ultimately accountable.
Progress Is Not the Same as Speed
There is a lot of pressure right now to move quickly with AI. Speed is often framed as leadership.
In reality, progress is about durability.
Progress is choosing tools that integrate quietly into your systems. Progress is reducing cognitive load, not adding to it. Progress is knowing where your risks are and managing them calmly instead of discovering them under stress.
You do not need to adopt every AI tool. You need to adopt the right ones, at the right time, with the right safeguards.
That is not hesitation. That is leadership.
